As dynamic legal entities, limited liability companies are inevitably influenced by the natural, economic, political and social environment. This dynamism often leads to changes in the composition of the company, i.e. in the persons of the partners/shareholders, by law or by statutory provision, with the ultimate aim of ensuring the adaptability and smooth operation of the company. Such changes include the exit and exclusion of a partner.

In particular, an exit is defined as the voluntary withdrawal of a partner from the company of his own free will. Exclusion, on the other hand, refers to the involuntary withdrawal of a partner from the partnership, i.e. without his/her will.
