VDI Law Firm successfully advised and supported a company operating in the field of laboratory analysis and research of male infertility, with diagnostic laboratories in Athens and Patras, in the strategic restructuring of its corporate and asset structure.

Following the shareholder’s decision to separate the company’s real estate assets from its core medical diagnostics activity, VDI’s corporate team designed and implemented the most suitable legal and tax-efficient solution tailored to the client’s needs. Our team recommended and executed a common demerger through the establishment of two new beneficiary entities, pursuant to Laws 4601/2019 and 5162/2024. Under the adopted structure:

-the medical diagnostics activity was transferred to one beneficiary company, and
-the company’s real estate property was transferred to the other,
achieving the restructuring without any tax burden.

VDI handled the full preparation and coordination of all required corporate, legal, and transactional documentation until the successful implementation of the demerger. A particularly significant aspect of the project involved navigating the highly regulated framework governing medical diagnostics laboratories, requiring meticulous coordination with the competent regulatory authorities to ensure the seamless completion of the restructuring process.
